| Description: | Our 2nd season of Telegraphs LastSundaysFest is coming to Berkeley on the Sundays of July 25, August 29, and next year April 24, 2011. Combining crafts, music and childrens exhibits attracting all ages. The music has a particular focus on alternative rock but covers the whole spectrum from jazz to classical and more. Its a 21st Century Happening! Telegraphs is closed to traffic above Dwight Way. Anticipated 2-6K attendees for each event. Aprils 2011 will be UC Berkeley focused. Advertising will total 20K in various media including television. Discounts apply for multiple fairs. Seeking sellers of crafts, food, and contemporary merchandise. | |

| EXHIBITOR RULES AND GUIDELINES: 1.The person or organization completing this contract and affixing signature below is hereafter referred to as Exhibitor. 2. Telegraph Business Improvement District is hereafter referred to as TBID. 3. Exhibitor will be assigned a space by 10 days before the day of the fair for July 25, 2010. If Exhibitor is appearing at multiple fairs, the assigned space may change. 4. SET-UP: Exhibitor understands that set-up begins at 8 AM on the day of the fair and must be completed by 11AM. 5. VEHICLES: Exhibitor understands that no vehicles will be allowed on the street after 11 AM. Vehicles will not be allowed to reenter the closed portion of the street until 7:15 PM at the earliest to allow the crowd time to disperse. 6. BREAKDOWN: Exhibitor understands that breakdown will start no earlier than 7 PM and its booth must be completely disassembled and Exhibitors allotted area completely cleaned of materials and debris no later than 9 PM. Violation of this rule will preclude Exhibitors participation in future fairs. 7. CLEAN UP: Exhibitor is solely responsible for ensuring that no refuse remains after Exhibitor has left. In the case that refuse is left behind, TBID will charge a cleaning fee of $100. Exhibitors participation in future fairs will not be possible until this cleaning fee is paid. 8. SPACE ALLOCATION USE: Exhibitor shall confine presentation to the specified location and booth size of 10x10 or 10x7. Exhibitor shall not construct or place any material of any kind that extends beyond the allocated space. Failure to comply with this rule will result in citation and ejection from the fair, and Exhibitor will not be permitted to participate in future fairs. 9. Exhibitor understands that this application is FOR SPACE ONLY. Exhibitor will provide anything else such as booth structure, chairs, tables, etc. All canopies MUST have open backs to provide visibility for the merchants. 10. LastSundaysFest is a music festival and Exhibitor understands that there will be loud amplified sound. 11. Exhibitor cannot have generators and amplified sound equipment, including but not limited to stereos, loudspeakers, and bull-horns, of any kind are NOT permitted. No electricity shall be made available in the space. 12. Exhibitor shall use the space only for the purpose agreed upon with the TBID, and shall not sell or give away any food or drink unless the appropriate food permit has been obtained. Violation of this rule will result in immediate closure without refund or recourse. 13. Exhibitor hereby releases and agrees to hold harmless and to not bring any lawsuit, arbitration or other action, claim or proceeding (collectively "Release") against the TBID and its members, directors, employees, agents, subcontractors, representatives, attorneys, brokers, insurers, lenders, officers, directors, partners, successors (collectively "TBID") and assigns arising out of or relating to the LastSundaysFest. This Release includes but is not limited to any claim, loss, expense, cost, obligation and liability that Vendor may suffer arising out of or relating to the LastSundaysFest whether by reason of breach of or failure of the TBID to perform in any manner or any part of its obligations related to the LastSundaysFest or by reason of any act or omission of the TBID. This Release includes but is not limited to every type of personal injury, property damage and damage to business interests, whether caused by TBID or a third party, natural, animal, or human-made disaster. 14. The fair will not be canceled less than 30 days prior to the scheduled date. This event will take place rain or shine. However, in the event that it is canceled due to an act of God including but not limited to earthquake, storm, flood, fire, or riot, Exhibitor shall not be entitled to a refund of booth fees paid to TBID, and TBID will not be held liable to Exhibitor for any other damages. 15. TBID provides no insurance coverage to Exhibitor. Exhibitors are strongly encouraged to carry their own insurance. 16. TBID reserves the right to eject Exhibitor for rules violation and inappropriate behavior on the day of the fair and Exhibitor is not entitled to a refund. 17. Exhibitor agrees not to record, videotape, or take photographic images by any means for resale or profit without the explicit written consent of TBID. 18. This is a juried event and all participants must be approved by the LastSundaysFest committee. Exhibitor will be notified for acceptance and further information on booth location(s) along with processing final transactions. 19. Payments need to be submitted with application, if application is accepted then credit card will be charged or check will be deposited. If payment is not received by these terms by that date Exhibitors place will not be reserved price will be subject to change. 20. Exhibitor hereby grants to LastSundaysFest the irrevocable and unrestricted right to use and publish photographs of Exhibitor or in which Exhibitor may be included for advertising and any other purpose and in any manner and medium. Exhibitor hereby releases photographer from claims and liability to said photographs. | ||
